NoFee Commission-Free Restaurant Ordering Platform Restaurant Agreement
Subscription, payments, and platform terms for restaurants on NoFee
This Restaurant Agreement governs your participation as a Restaurant on the NoFee platform. It supplements the Terms of Service and, together with the Privacy Policy and any plan details presented at sign-up, forms the agreement between you and NoFee for your Subscription and use of the Platform.
Effective date of your Subscription: the date you create your Restaurant Account and accept this Agreement.
1. THE SERVICE
1.1NoFee provides a subscription-based platform that lets your Restaurant publish a digital menu, receive Orders directly from Customers through one or more channels you enable (in-app, SMS, WhatsApp, email, or phone), manage Orders and menus through a dashboard, and access tools such as analytics, a rewards-enabled customer base, and communication features. NoFee charges a flat monthly Subscription and does not take a commission on your Order value.
1.2NoFee does not sell food, prepare food, or provide delivery. You are the seller of all items you list, and you are solely responsible for fulfillment, including any delivery you perform using your own staff or your own couriers.
1.3Some features are described as "coming soon" or in development (for example, point-of-sale, kitchen display, split checks, multi-location management). Those features are not part of the current Subscription unless and until released, and are not guaranteed.
2. ELIGIBILITY AND ACCOUNT SETUP
2.1You represent that you are a duly organized food-service business (or its authorized owner/representative) lawfully able to sell the items you list, and that you hold all licenses, permits, and registrations required to operate, including food-safety and health permits.
2.2You agree to complete onboarding accurately, including restaurant name, owner name, business contact details, address, cuisine types, business hours, menu and pricing, logo and photos, order-receiving channels, and fulfillment settings. The Platform may require you to complete a publication checklist before your Restaurant goes live.
2.3You are responsible for keeping your menu, prices, hours, availability, and settings accurate and current.
3. SUBSCRIPTION, TRIAL, AND BILLING
3.1Trial period. New Restaurants may receive a free trial of [[CONFIRM: confirm trial length; onboarding copy shows "45-day free trial"]]. A valid payment method may be required to start the trial. Unless you cancel before the trial ends, your paid Subscription begins automatically at the end of the trial.
3.2Subscription fee. The Subscription is a recurring monthly fee of [[CONFIRM: confirm current price; pricing pages show "$299/month, first 6 months, then $349/month" and a "Founding Partner" rate]]. Applicable taxes may be added.
3.3Auto-renewal. Your Subscription renews automatically each month until cancelled. By subscribing, you authorize NoFee (and its payment processor) to charge your payment method on file the then-current Subscription fee on each renewal date. 3.4Price changes. We may change Subscription pricing on reasonable prior notice. Changes apply to the next renewal after the notice period. If you do not agree, you may cancel before the change takes effect.
3.5Failed payments. If a Subscription charge fails, we may retry, suspend access, and/or downgrade features until payment is made. Persistent non-payment may result in termination under Section 11.
4. CANCELLATION
4.1How to cancel. You may cancel your Subscription at any time from your dashboard settings. Consistent with the Platform's stated policy, there are no long-term contracts, no cancellation penalties, and no required advance-notice period; you retain access to paid features until the end of your then-current billing period, after which the Subscription ends.
4.2Effect of cancellation. On cancellation, your Restaurant is removed from active listing at the end of the billing period, and your menu stops accepting new Orders through the Platform. You remain responsible for fulfilling any Orders already accepted. We may retain your data as described in the Privacy Policy.
4.3No pro-rata refunds. Except where required by law or expressly stated, Subscription fees already charged are non-refundable, and cancelling mid-cycle does not entitle you to a partial refund. [[CONFIRM: decide refund posture for the trial-to-paid transition and any goodwill refunds]]
5. PAYMENTS TO YOU AND STRIPE CONNECT
5.1Stripe Connect. To receive Customer payments, you must create or connect a Stripe account through Stripe Connect and complete Stripe's onboarding and identity verification. Your use of Stripe is governed by the Stripe Connected Account Agreement and Stripe Services Agreement, which you accept by connecting., where you enable it, is governed by 's terms.
5.2Direct settlement. Customer payments for your Orders are processed through Stripe and settle directly to your connected Stripe account. NoFee does not take a commission on Order value and does not hold or control your Order funds; settlement timing, payout schedules, and any processor fees are determined by Stripe and your Stripe account settings. NoFee makes no guarantee about specific payout timing.
5.3Processor fees. Stripe charge their own processing fees on Customer payments. Those fees are set by the processor and are separate from your NoFee Subscription.
5.4No banking data stored by NoFee. Consistent with the Platform's representations, NoFee does not store your full bank-account or card credentials; those are handled by Stripe.

6. TAXES
6.1You are responsible for determining, collecting, and remitting all sales, use, meals, and other transaction taxes on your Orders, and for your own income and business taxes, except to the extent a taxing authority requires NoFee to collect and remit as a marketplace facilitator. 6.2The Platform offers tax-calculation features (for example, deriving a rate from your address). You are responsible for verifying the accuracy of tax settings for your location and item types; a calculated rate is a convenience and not tax advice. 7. REFUNDS, CHARGEBACKS, AND ORDER DISPUTES
7.1You handle Order refunds. Because you are the seller, you are responsible for your refund, cancellation, and remake policies and for issuing refunds to Customers for your Orders (for example, through Stripe). You will handle Customer complaints about your food, fulfillment, and delivery promptly and in good faith.
7.2Chargebacks. If a Customer disputes a charge with their card issuer (a chargeback) on an Order paid into your Stripe account, the chargeback, related fees, and the dispute process are handled through Stripe and are your responsibility as the merchant of record. You agree to cooperate and to provide evidence needed to respond.
7.3Subscription disputes. If you dispute a Subscription charge, contact us first under Section 13 so we can resolve it; initiating a chargeback on a valid Subscription charge may result in suspension.
7.4NoFee is not a party to the contract of sale between you and the Customer and is not responsible for Order refunds, chargebacks, or food disputes, except to facilitate the technical processing handled by Stripe.
8. YOUR RESPONSIBILITIES AND REPRESENTATIONS
8.1You are solely responsible for:
(a) food safety, quality, accurate allergen and ingredient information, packaging, and compliance with all health, labeling, and food-service laws;
(b) accurate menus, prices, availability, hours, taxes, and fulfillment settings;
(c) fulfilling accepted Orders, including any delivery you provide, within the times you promise to Customers;
(d) your communications with Customers through enabled channels, and compliance with messaging laws when you contact Customers (including consent and opt-out where applicable);
(e) maintaining a reliable means of receiving Orders; you acknowledge that browser-based order alerts may depend on keeping a session active, and you are responsible for monitoring incoming Orders;
(f) the accuracy and rights to all Content you upload, including photos and logos; and
(g) all licenses, permits, insurance, and taxes applicable to your business.
8.2You represent that the information you provide is accurate, that you will not list items you are not lawfully permitted to sell, and that you will comply with the acceptable-use rules in the Terms of Service, including the prohibition on fake reviews and Rewards/referral manipulation.
9. CONTENT LICENSE
9.1You grant NoFee a worldwide, non-exclusive, royalty-free license to host, display, reproduce, adapt for formatting, and distribute your menu, photos, logo, and business information to operate the Platform, present your Restaurant to Customers, and promote the Platform and your participation (for example, in search results, listings, and marketing). This license ends for new uses when your Subscription ends, except for residual copies retained for records and as otherwise permitted by the Privacy Policy.
10. REWARDS, REFERRALS, AND THE "FAST" / BADGE PROGRAMS
10.1Customers may earn Rewards in connection with your Restaurant (for example, points on Orders). Gift credits are administered by NoFee under the Rewards Program Terms. Where a Reward is redeemed as a credit toward an Order, the parties' settlement of that credit is handled as described in the Rewards Program Terms; you should review those Terms.
10.2If you opt into any on-time/"Fast" or badge program, you agree that eligibility is based on the criteria NoFee defines (which may rely on your promised times and Customer confirmations), that badges are informational, and that NoFee may adjust or revoke a badge. 11. SUSPENSION AND TERMINATION
11.1You may cancel under Section 4. We may suspend or terminate your Account or Subscription for non-payment, breach of this Agreement or the Terms of Service, fraud or abuse, risk to the Platform or other users, or as required by law or a payment provider, with notice where practicable.
11.2On termination for any reason, your right to use the Platform ends, your listing is removed, and you remain responsible for fulfilling accepted Orders and for amounts owed. Sections relating to taxes, refunds/chargebacks, indemnity, disclaimers, and limitation of liability survive.
12. DISCLAIMERS, LIABILITY, AND INDEMNITY
12.1The disclaimers, limitation of liability, and indemnification provisions in the Terms of Service apply to this Agreement. In addition, you will indemnify NoFee against claims arising from your food, your fulfillment and delivery, your Content, your tax handling, and your breach of this Agreement.
12.2NoFee's aggregate liability to you arising out of the Platform or this Agreement is limited as set out in the Terms of Service.
13. NOTICES AND GENERAL
13.1Notices to NoFee may be sent to [[CONFIRM: legal/support contact]]. We may give you notice through the dashboard or your business contact details. This Agreement is governed by the law and venue stated in the Terms of Service. The Terms of Service's general provisions (entire agreement, severability, assignment, force majeure, independent-contractor status) apply.
